Terms of Service
These Terms of Service ("Terms") constitute a binding agreement between Sintrio LLC, a limited liability company organized under the laws of the State of Wyoming, United States, with its registered office at 2029 Black Jack Loop Num 3574, Cheyenne, WY 82001-7282, USA ("Sintrio", "we", "our", or "us"), and the legal entity or individual ("Customer", "Merchant", or "you") that accesses, registers for, or uses the Sintrio platform and related services (the "Services"). By creating an account, executing a separate written agreement, or otherwise using the Services, you confirm that you have read, understood, and agree to be bound by these Terms in their entirety.
1. Acceptance of Terms
These Terms apply to all access to and use of the Services. If you are accepting these Terms on behalf of a company or other legal entity, you represent and warrant that you have full authority to bind that entity and that the entity agrees to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Services. Sintrio may also require you to enter into separate written agreements (such as enterprise master services agreements, data processing addenda, or order forms) which, where executed, supplement and where conflict, override these Terms.
2. Description of Services
Sintrio provides a payment-aggregation and merchant-services platform that enables Customers to accept electronic payments from end-customers in multiple currencies and across multiple jurisdictions. The Services may include, without limitation: (i) payment processing and authorization; (ii) multi-currency acceptance and conversion; (iii) automated tax calculation and remittance for sales tax, value-added tax (VAT), and goods and services tax (GST); (iv) fraud detection and risk scoring; (v) dispute and chargeback management; (vi) analytics, reporting, and reconciliation tools; (vii) developer interfaces including REST APIs, software development kits, and webhooks; and (viii) payout services. The Services are made available on a subscription or transactional-fee basis as described on the Sintrio Pricing page or in your signed agreement.
3. Eligibility and Account Registration
To use the Services, you must be a legally registered business or an adult natural person acting in a professional capacity, located in a jurisdiction in which Sintrio offers the Services. You must register for an account by providing complete, accurate, and current information regarding your business, beneficial owners, directors, and authorized representatives. You are responsible for maintaining the confidentiality of your credentials and for all activities under your account. You must notify Sintrio immediately of any unauthorized use of your account at abuse@sintrio.io.
4. KYC / KYB Compliance
As a regulated financial services provider, Sintrio is required to verify the identity of its Customers ("Know Your Customer" or "KYC") and their underlying business structure ("Know Your Business" or "KYB"). You agree to: (a) provide all identification documents reasonably requested by Sintrio, including but not limited to articles of incorporation, beneficial-owner identification, government-issued photo identification, proof of address, and tax identification numbers; (b) disclose all beneficial owners holding 25% or more of equity or voting control; (c) cooperate with any enhanced due diligence procedures required for higher-risk Customers; and (d) submit to ongoing periodic monitoring and re-verification.
Sintrio reserves the right, in its sole discretion and without any requirement to provide justification, to deny an application, suspend an account, request additional documentation, place funds on hold, or terminate the Services if Sintrio determines that doing so is necessary to comply with applicable law, card network rules, or our internal risk policies. You acknowledge that decisions to refuse service in this context are not reviewable.
5. Acceptable Use Policy
Your use of the Services is subject at all times to Sintrio's Acceptable Use Policy, available at /legal/acceptable-use, which is incorporated into these Terms by reference. You are responsible for ensuring that your business model, products, services, and end-customer activity comply with the Acceptable Use Policy, card network operating rules (Visa, Mastercard, American Express, Discover), and all applicable laws and regulations.
6. Pricing and Fees
Sintrio charges fees for the Services as described on the Pricing page or in your signed order form. Fees may include per-transaction fees, monthly subscription fees, currency conversion margins, dispute and chargeback fees, refund fees (if any), and other ancillary charges. Unless otherwise agreed in writing, all fees will be deducted automatically from amounts owed to you prior to payout. You authorize Sintrio to debit or withhold such amounts. All fees are exclusive of taxes, which you remain responsible for paying. Sintrio may adjust standard pricing with thirty (30) days' prior notice by email to the address associated with your account.
7. Payout Terms
Sintrio settles funds to your designated bank account on a next-day basis by default, subject to applicable banking holidays, reserve requirements, and risk policies. Sintrio may at its discretion impose a rolling reserve, delayed settlement schedule, or hold on funds where required to mitigate risk, comply with applicable law, or address suspected fraud, chargebacks, or violations of these Terms or the Acceptable Use Policy. Reserve amounts and release schedules are disclosed in your dashboard or in a written notice. Customer remains the beneficial owner of funds held in Sintrio's settlement accounts pending payout.
8. Refunds and Chargebacks
Customer is solely responsible for processing refunds to its end-customers in accordance with its own published refund policy and applicable law. Refunds are initiated through the Sintrio dashboard or API. Sintrio does not refund processing fees on refunded transactions, except where required by law or expressly agreed in writing. Customer is fully liable for all chargebacks raised by end-customers, including the face value of the underlying transaction and any chargeback handling fees. Sintrio will provide dispute evidence representation in accordance with card network rules but does not guarantee any outcome.
9. Customer Obligations
Customer agrees that it will:
- provide accurate, complete, and current information to Sintrio at all times;
- maintain the security and confidentiality of API credentials, secret keys, and account passwords;
- comply with all applicable United States federal, state, and local laws and regulations, including consumer protection, anti-money laundering (AML), and sanctions laws;
- publish on its own storefront or service a clearly visible Terms of Service, Refund Policy, Privacy Policy, and Cookie Policy that comply with applicable law and card network rules;
- not use the Services to engage in any activity that is illegal, fraudulent, or otherwise prohibited under the Acceptable Use Policy;
- maintain accurate business and product information on its end-customer-facing channels;
- cooperate with Sintrio's reasonable requests for information related to underwriting, risk monitoring, dispute defense, and regulatory inquiries.
10. Service Availability
Sintrio uses commercially reasonable efforts to provide the Services with high availability. Sintrio publishes a standard uptime target of 99.9% as a non-binding goal, and a contractual 99.99% service level agreement is available for Enterprise customers. Sintrio is not liable for any unavailability or interruption caused by force majeure events, scheduled or emergency maintenance, third-party network outages, card network or banking partner failures, or events outside Sintrio's reasonable control.
11. Intellectual Property
Sintrio retains all right, title, and interest in and to the Services, including without limitation all software, APIs, documentation, designs, trademarks, service marks, logos, trade dress, and other intellectual property. Subject to your compliance with these Terms, Sintrio grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services solely for the duration of your subscription and only for the purposes contemplated by these Terms. You may not reverse engineer, decompile, copy, sublicense, or create derivative works of the Services or any portion thereof, except as expressly permitted by law.
12. Data Protection
Sintrio processes personal data in accordance with its Privacy Policy, available at /legal/privacy, and where applicable a separate Data Processing Addendum ("DPA") which forms part of these Terms when executed. Each party shall comply with applicable data protection laws including the California Consumer Privacy Act (CCPA) and California Privacy Rights Act (CPRA), the Virginia Consumer Data Protection Act (VCDPA), the Colorado Privacy Act (CPA), and, where applicable, the European Union General Data Protection Regulation (GDPR).
13. Confidentiality
Each party agrees to treat as confidential all non-public information disclosed by the other party that is identified as confidential or that should reasonably be understood to be confidential. Each party shall use such information solely for the purposes of performing under these Terms, shall protect it with at least the same degree of care it uses to protect its own confidential information (and no less than a reasonable degree of care), and shall not disclose it to any third party except as permitted under these Terms. Confidentiality obligations survive termination for three (3) years.
14. Limitation of Liability
To the maximum extent permitted by applicable law, Sintrio's aggregate liability arising out of or related to these Terms or the Services shall not exceed the total fees paid by Customer to Sintrio during the twelve (12) months immediately preceding the event giving rise to the claim. In no event shall Sintrio be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including without limitation lost profits, lost revenue, lost data, or loss of goodwill, even if advised of the possibility of such damages. The foregoing limitations shall apply regardless of the legal theory of liability and shall survive failure of any limited remedy.
15. Indemnification
Customer agrees to indemnify, defend, and hold harmless Sintrio and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) Customer's use of the Services; (b) Customer's violation of these Terms or the Acceptable Use Policy; (c) Customer's violation of any applicable law or regulation; (d) Customer's products or services or interactions with its end-customers; or (e) any chargebacks or disputes initiated by Customer's end-customers.
16. Termination
These Terms commence upon your acceptance and continue indefinitely until terminated. Either party may terminate for convenience by providing thirty (30) days' written notice. Sintrio may suspend or terminate immediately, without prior notice, in the event of: material breach by Customer; suspected fraud, money laundering, or other illegal activity; violation of card network rules; risk of regulatory or financial harm to Sintrio; or any other circumstance Sintrio determines, in its reasonable judgment, to warrant immediate action. Upon termination, Sintrio will release funds owed to Customer in accordance with applicable risk and reserve policies, less any amounts owed to Sintrio.
17. Force Majeure
Neither party shall be liable for any failure or delay in performance under these Terms (other than payment obligations) to the extent such failure or delay is caused by an event beyond the party's reasonable control, including acts of God, war, terrorism, civil unrest, government action, pandemics, fire, flood, earthquake, labor disputes, internet or telecommunications outages, or denial-of-service attacks.
18. Assignment
Customer may not assign or transfer these Terms, by operation of law or otherwise, without the prior written consent of Sintrio. Sintrio may freely assign these Terms, including in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all of its assets.
19. Modifications
Sintrio may modify these Terms from time to time. Material modifications will be communicated by email to the address associated with your account at least thirty (30) days before they take effect. Continued use of the Services after the effective date constitutes acceptance of the modified Terms. If you do not agree to a modification, your sole remedy is to terminate your use of the Services prior to the effective date.
20. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to its conflict-of-laws principles. The parties agree that the exclusive jurisdiction and venue for any dispute arising out of or related to these Terms shall lie in the state and federal courts located in Laramie County, Wyoming. The parties may, by mutual agreement, submit any dispute to binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. The prevailing party in any action shall be entitled to recover reasonable attorneys' fees and costs.
